PLEASE READ THESE TERMS & CONDITIONS CAREFULLY AS THEY CONTAIN
IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND
OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, AND A
CLAUSE THAT GOVERNS THE JURISDICTION AND VENUE OF DISPUTES
MOTHERS AND CLEANING TERMS & CONDITIONS

The terms and conditions stated herein constitute a legal agreement between you and Mothers
in Cleaning. (hereafter referred to as “MIC, “we”, “us”, or “our”, the “WebSite”).
By using the Services of cleaning with MIC, you agree to comply with and be legally bound by
the terms and conditions of these Terms of Service, and any future amendments and additions
to this Agreement as published or through the Service. Please read carefully these Terms and
our Privacy Policy, if you do not agree to these Terms, you have no right to obtain information
from or otherwise continue using the Site. Failure to use the Site in accordance with these
Terms may subject you to civil and criminal penalties.

MIC reserves the right to modify the terms and conditions of this Agreement or its
policies relating to the Service or Site at any time, effective upon posting of an updated version
of this Agreement on the Service or Site. You are responsible for regularly reviewing this
Agreement. Continued use of the Service after any such changes shall constitute your consent

1.Service

MIC DOES NOT PROVIDE CLEANING SERVICES, AND IS NOT A
CLEANING SERVICE PROVIDER. MIC IS A PLATFORM FOR CONNECTING INDIVIDUALS
LIKE YOU WHO ARE LOOKING FOR CLEANING SERVICES (hereafter referred to as
customer ), AND MIC AFFILIATED CLEANERS (hereafter referred to as cleaner) THAT
WILLING TO PERFORM SUCH JOBS. CLEANING SERVICES WHICH MAY BE SCHEDULED
THROUGH USE OF THE WEBSITE. MIC OFFERS INFORMATION AND A
METHOD TO OBTAIN SUCH THIRD PARTY CLEANING SERVICES, BUT DOES NOT AND
DOES NOT INTEND TO PROVIDE CLEANING SERVICES OR ACT IN ANY WAY AS A
CLEANING SERVICE PROVIDER, AND HAS NO RESPONSIBILITY OR LIABILITY FOR ANY
CLEANING SERVICES PROVIDED TO YOU BY SUCH THIRD PARTIES.

Mothers and Cleaning is a communications platform for enabling the connection between
individuals seeking to obtain cleaning services and/or individuals seeking to provide cleaning
services. MIC checks the backgrounds of cleaning service providers via third party
background check services; however, MIC does not guarantee and makes no
representations regarding the reliability, quality or suitability of such cleaning service providers.

When interacting with cleaning service providers you should exercise caution and common
sense to protect your personal safety and property, just as you would when interacting with
other persons whom you don’t know. By using the Service, you agree to hold MIC free
from the responsibility for any liability or damage that might arise out of the transaction involved.
NEITHER MIC IS RESPONSIBLE FOR THE CONDUCT OF ANY USER OF THE
SERVICE. MIC WILL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE
ARISING IN CONNECTION WITH YOUR USE OF THE SERVICE.

2.Representation and warranties.

By using the Service or webSite, you expressly represent and warrant that you are legally
entitled to enter this Agreement. If you reside in a jurisdiction, which restricts the use of the
Service because of age or restricts the ability to enter into agreements such as this one due to
age, you must abide by such age limits and you must not use the Service. Without limiting the
foregoing, the Service is not available to children (persons under the age of 18) or others who
are not capable of entering into binding contracts. By using the Service, you represent and
warrant that you are at least 18 years old and otherwise capable of entering into binding
contracts. By using the Service, you represent and warrant that you have the right, authority and
capacity to enter into this Agreement and to abide by the terms and conditions of this
Agreement. Your participation in using the Service is for your sole, personal use. You may not
authorize others to use your user status, and you may not assign or otherwise transfer your user
account to any other person or entity. When using the Service you agree to comply with all
applicable laws from the country, province and city in which you are present while using the
Service.

3. By using the cleaning Service, you agree that:

You must create an account in order to use some features of MIC Services. You, as a customer,
are responsible for safeguarding the username and password that you use to access any
secure or password-protected areas of MIC Services. You must not disclose your password to
any third party. You are solely responsible for any activities or actions under your username and
password, whether or not you have authorized such activities or actions. You will immediately
notify us of any unauthorized use of your username or password. You must provide true,
accurate, current, and complete information about yourself as requested by any form you
complete as part of the process of registering for the Service and/or setting up your account. If
any information provided by you is untrue, inaccurate, not current, deceptive, misleading, or
incomplete, we reserve the right to terminate your account and refuse any and all current or
future use of MIC Services. You are responsible for keeping your account information current
and accurate; we will have no liability for failure to deliver notices that result from inaccurate
account information. you agree on you as a customer that signs up for MIC services,
therefore, need to send you voice or text messages in order to confirm your phone number or
keep you informed about your job a Cleaner may be performing for you some of this voice or
text may be necessary for the completion of the service.

4.Service specifications.

(i)-Cleaning Supplies/ Equipment:For sanitary reasons and to avoid cross-contamination, MIC
asks our customers to provide all the cleaning products and tools such as mops,
brooms, dustpans, paper towels and a toilet brush. If you want high areas cleaned, you must
provide a piece of suitable equipment with security protocols for this purpose. If you want
carpets and rugs vacuumed, you must provide a vacuum. (ii)-Pets: Pets are very important for
MIC. However, In case your pet becomes anxious or presents a safety concern, MIC
reserves the right to remove the cleaner from a place of work.MIC will charge you a prorated
expense based on work performed in this case or If our staff was moved due to aggressive
pets, our cancellation policy will apply. (iii)- Valuables:Keep safely valuables prior to cleanings.
Please advise MIC cleaners about fragile items and their care before they start their job at your
place. (iv)-Large and Heavy items. For safety and liability reasons, MIC does not allow its
Cleaning Professionals to lift or move heavy items or furniture.

5.Payment Terms.

Any fees which MIC may charge you for the Service are due immediately upon
completion of your cleaning.

When you book a job cleaning with MIC the Charges for Jobs are nonrefundable and will be charged
to you in accordance with the MIC’s fee. MIC reserves the right to determine final
prevailing pricing – Please note the pricing information published on the website may not reflect
the prevailing pricing. MIC may change the fees for our Service as we deem
necessary for our business. We encourage you to check back at our website periodically if you
are interested in how we charge for the Service.

MIC offers flat-rate pricing based on the number of spaces (rooms, bathrooms etc) or the
cleaning activity the cleaner will perform. However, the pricing may change if the area turns out
to be larger than what you book on the website. MIC’s website allows you to change the
estimate, but that will waive the guarantee if it is not made within the stipulated time (see
agreement guarantee number 7 ). MIC’s website requires a credit or debit card on file to
schedule an appointment. In case if you cancel the appointment 48 hours prior to the date, MIC
will charge a cancellation fee of $60 and/or charge a $25 late fee if your card will be
declined and not let us charge you. A $5 cancellation fee will be applied to all orders regardless of time.
MIC, at its sole discretion, makes promotional offers with different features and different rates to
any of our customers. These promotional offers, unless made to you, shall have no bearing
whatsoever on your offer or contract.

6.Refunds

Refunds may only be applied at the discretion of our representatives. In the event of accidental
damage, it is necessary to notify our office within 24 hours of the appointment. MIC does not guarantee reimbursement for damages reported more than 24 hours after the end of the cleaning and reserves the right to contract suitable professionals to repair damages. MIC will make payment arrangements directly to its contractors to settle any damage repair whatsoever. We reserve the right to determine the final prevailing pricing.

7.Cleaning Guarantee.

MIC offers a full guarantee that your space is clean after we are completed with the tasks. This
guarantee does not apply if: (i)You let us know 24 hours after the cleaning has been
completed.
(ii)You were present during the cleaning and were happy with the work done by our
cleaners. (iii) You changed the estimate of space and price that we made on our website
or by phone.(iv)MIC does not assume a cleaning guarantee for the restoration of mildewed,
severely worn or mildewed caulking and grout.Any complaint about the service must send email
operations@mic.com and Our representatives will take all necessary action like sends a
cleaner back to address any areas in which you are dissatisfied short within 2 days of your
original clean.

8.Feedback

Feedback regarding our performance, including any suggestions, ideas, enhancement requests,
and recommendations or other information regarding the Service, you hereby assign to MIC all right, title and interest thereto.
This Agreement is not a sale and does not convey to you any rights of ownership in or related to the Service,
or any intellectual property rights owned by MIC.

9.Intellectual Property

Intellectual Property Ownership. MIC alone shall own all right, title and interest,
including all related intellectual property rights with the Service. MIC name, MIC logo,
and the product names associated with and Service are trademarks of MIC and no right or license is granted to use them.

10.General

No joint venture, partnership, employment, or agency relationship exists between you, or any
third party provider as a result of this Agreement or use of the Service. If any provision of the
Agreement is held to be invalid or unenforceable, such provision shall be struck and the
remaining provisions shall be enforced to the fullest extent under law. The failure of the
MIC to enforce any right or provision in this Agreement shall not constitute a waiver of
such right or provision unless acknowledged and agreed to by MIC in writing. This
Agreement comprises the entire agreement between you and MIC and supersedes all prior or
contemporaneous negotiations, discussions or agreements, whether written or oral, between
you and MIC regarding the subject matter contained herein

11.Other Parties

You accept that, MIC has an interest in limiting the personal liability of its officers and
employees. You agree that you will not bring any claim personally against the MIC’s
officers or employees in respect of any losses you suffer in connection with the Service. Without
prejudice to the foregoing, you agree that the limitations of warranties and liability set out in this
Agreement will protect MIC’s officers, employees, agents, subsidiaries, successors,
assigns and sub-contractors as well as MIC.

12.Breaches of these terms and conditions.

Without prejudice to the MIC’s other rights under these terms and conditions, if you breach
these terms and conditions in any way, MIC may take such action as MIC deems
appropriate to deal with the breach, including suspending your access to the Service, prohibiting
you from accessing the Service, blocking computers using your IP address from accessing the
Service, contacting your internet service provider to request that they block your access to the
Service and/or bringing court proceedings against you.

13.Termination.

MIC reserves the right to (i) modify or discontinue, temporarily or permanently, the
Service (or any part thereof) and (ii) refuse any and all current and future use of the Service,
suspend or terminate your account (any part thereof) or use of the Service, for any reason,
including if MIC believes that you have violated this Agreement. MIC shall
not be liable to you or any third party for any modification, suspension or discontinuation of the
Service. MIC will use good faith efforts to contact you to warn you prior to suspension
or termination of your account by MIC.

Disclaimer of Warranties:

MIC MAKES NO REPRESENTATION, WARRANTY, OR
GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY,
AVAILABILITY, ACCURACY OR COMPLETENESS OF THE SERVICE MIC
DOES NOT REPRESENT OR WARRANT THAT (A) THE USE OF THE SERVICE, TIMELY,
UNINTERRUPTED OR ERROR-FREE (B) THE CLEANING SERVICES WILL MEET YOUR
REQUIREMENTS OR EXPECTATIONS, (C) THE QUALITY OF ANY PRODUCTS,
SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU
THROUGH THE CLEANING SERVICES WILL MEET YOUR REQUIREMENTS OR
EXPECTATIONS, (E) ERRORS OR DEFECTS IN THE SERVICE WILL BE CORRECTED.
THE CLEANING SERVICE IS PROVIDED TO YOU STRICTLY ON AN “AS IS” BASIS. ALL
CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED,
STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED
WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR
NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE
MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY MIC. MIC MAKES NO REPRESENTATION,
WARRANTY, OR GUARANTY AS TO THE RELIABILITY, SAFETY, TIMELINESS, QUALITY, SUITABILITY OR AVAILABILITY OF ANY
SERVICES, PRODUCTS OR GOODS OBTAINED BY THIRD PARTIES. THROUGH THE USE
OF THE SERVICE. YOU ACKNOWLEDGE AND AGREE THAT THE ENTIRE RISK ARISING
OUT OF YOUR USE OF THE WEBSITE, AND ANY THIRD-PARTY SERVICES OR
PRODUCTS, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED BY
LAW.

14 Terms of Use.

These Terms of Use and any dispute between you and MIC shall be governed by the laws of
the province of Ontario without regard to principles of conflicts of law.
BY USING THE SITE OR SERVICES IN ANY WAY, YOU AGREE THAT ANY CLAIM OR
CONTROVERSY ARISING OUT OF THE USE OF THE SITE OR SERVICES OR RELATING
TO AN ALLEGED BREACH OF THE TERMS OF USE SHALL BE SETTLED EXCLUSIVELY
BY BINDING ARBITRATION. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT TO
ASSERT OR DEFEND ANY CLAIMS BETWEEN YOU AND MIC AND YOUR RIGHT TO
PARTICIPATE IN A CLASS ACTION OR OTHER CLASS PROCEEDING. CLAIMS AND
CONTROVERSIES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND MAY NOT BE
CONSOLIDATED WITH ANY OTHER CLAIMS OR CONTROVERSIES. JUDGMENT ON THE
ARBITRATION AWARD MAY BE ENTERED INTO ANY COURT HAVING JURISDICTION IN
LONDON, ONTARIO. YOU OR MIC MAY SEEK ANY PRELIMINARY OR INTERIM RELIEF
FROM A COURT OF COMPETENT JURISDICTION IN LONDON, ONTARIO THAT IS
NECESSARY TO PROTECT THE RIGHTS OF PROPERTY PENDING THE COMPLETION OF
ARBITRATION. ANY PROCEEDING REQUIRED TO ENFORCE THIS ARBITRATION
AGREEMENT MAY BE COMMENCED IN ANY COURT OF COMPETENT JURISDICTION. IN
THE EVENT THAT THIS AGREEMENT IS HELD TO BE UNENFORCEABLE, ANY
LITIGATION AGAINST MIC MAY BE COMMENCED ONLY IN FEDERAL OR PROVINCIAL
COURTS LOCATION IN LONDON, ONTARIO AND YOU HEREBY IRREVOCABLY CONSENT
TO THE JURISDICTION OF THOSE COURTS FOR SUCH PURPOSES.
THE QUALITY OF THE CLEANING SERVICES SCHEDULED THROUGH THE USE OF THE
WEBSITE IS ENTIRELY THE RESPONSIBILITY OF THE THIRD PARTY PROVIDER WHO
ULTIMATELY PROVIDES SUCH CLEANING SERVICES TO YOU. YOU UNDERSTAND,
THEREFORE, THAT BY USING THE WEBSITE, YOU MAY BE EXPOSED TO CLEANING
SERVICES THAT ARE POTENTIALLY DANGEROUS, OFFENSIVE, HARMFUL TO MINORS,
UNSAFE OR OTHERWISE OBJECTIONABLE, AND THAT YOU USE THE CLEANING
SERVICE , AND SUCH THIRD PARTY CLEANING SERVICES, AT YOUR OWN RISK.

NOTHING ON THIS WEBSITE CONSTITUTES, OR IS MEANT TO CONSTITUTE, ADVICE OF
ANY KIND. IF YOU REQUIRE ADVICE IN RELATION TO ANY LEGAL, FINANCIAL OR
MEDICAL MATTER YOU SHOULD CONSULT AN APPROPRIATE PROFESSIONAL.
BY USING THE WEBSITE YOU AGREE THAT THE EXCLUSIONS AND LIMITATIONS OF
LIABILITY SET OUT IN THIS AGREEMENT ARE REASONABLE. IF YOU DO NOT THINK
THEY ARE REASONABLE, YOU MUST NOT USE THE WEBSITE.

15. Privacy Policy.

Your privacy is very important to us. Accordingly, we have developed this Policy in order for you
to understand how we collect, use, communicate and disclose and make use of personal
information. The following outlines our privacy policy. Before or at the time of collecting personal
information, we will identify the purposes for which information is being collected. We will collect
and use personal information solely with the objective of fulfilling those purposes specified by us
and for other compatible purposes, unless we obtain the consent of the individual concerned or
as required by law. We will only retain personal information as long as necessary for the
fulfillment of those purposes. We will collect personal information by lawful and fair means and,
where appropriate, with the knowledge or consent of the individual concerned. Personal data
should be relevant to the purposes for which it is to be used, and, to the extent necessary for
those purposes, should be accurate, complete, and up-to-date. We will protect personal
information by reasonable security safeguards against loss or theft, as well as unauthorized
access, disclosure, copying, use or modification. We will make readily available to customers
information about our policies and practices relating to the management of personal information.
We are committed to conducting our business in accordance with these principles in order to
ensure that the confidentiality of personal information is protected and maintained.
